LFPDPPP is Mexico's Federal Law on Protection of Personal Data Held by Private Parties. If your SaaS collects, stores, or processes data from Mexican users or companies — even if you're incorporated abroad — you must comply. This includes having a compliant privacy notice, data subject rights process, and security measures.
At minimum: acceptable use, payment terms, IP ownership, liability limitations, SLA terms, data handling, termination rights, and governing law. For B2B SaaS, the MSA also needs to address data processing agreements, confidentiality, and enterprise-specific liability carve-outs.
Without an explicit assignment agreement, IP ownership in contractor-developed software can be ambiguous under Mexican law. We ensure your contractor and employment agreements include proper IP assignment clauses — protecting what your team builds as company assets.
