Startup Legal FAQ

The most common structures for tech startups in Mexico are the S.A. (Sociedad Anónima) for VC-backed companies, the S.A.S. (Sociedad por Acciones Simplificada) for early-stage lean structures, and the S. de R.L. for certain joint ventures or partnerships. The right choice depends on your funding plans, number of founders, tax strategy, and whether you expect foreign investment. We map this out with you in the first call.
Especially if you're friends. A founders agreement defines equity splits, vesting schedules, decision-making rights, what happens if someone leaves, and how IP is owned by the company — not the individual. Most founder disputes that destroy companies happen because these conversations were never formalized. It's one of the most important documents you'll sign, and one of the least expensive.
As early as possible — ideally before you launch publicly. In Mexico, trademark rights go to the first to register, not the first to use. We've seen companies forced to rebrand after launch because someone else registered their name first. IMPI (Mexico's trademark office) registration takes 4–6 months and is relatively inexpensive. We handle the entire filing process.
A SAFE (Simple Agreement for Future Equity) is a common early-stage investment instrument used by accelerators like Y Combinator. It converts to equity at a future priced round. In Mexico, SAFEs and convertible notes are both used, but require careful drafting to be enforceable under Mexican law. We advise on the right instrument for your round and jurisdiction, and draft agreements that work for both Mexican and international investors.
