This website (the "Site") is owned and operated by LITADVISORS S.C., a Sociedad Civil incorporated under the laws of Mexico, with offices in Mexico City ("LITADVISORS", "us", or "we"). Before you use the Site, please read these Terms of Use & Legal Notices (the "Terms") fully and carefully, as they constitute a binding contract between you and LITADVISORS with respect to your use of the Site.

By accessing or using the Site, you acknowledge and accept that you have read these Terms and agree that they will constitute the entire agreement between you and LITADVISORS with respect to: (i) your use of the Site and any of its features; (ii) any information or content, such as articles, blog posts, forms, templates, documents, or other materials (collectively, "Content"); and (iii) any and all communications or submissions of information or materials made by you to LITADVISORS through the Site or otherwise.

LITADVISORS reserves the right to modify these Terms at any time by posting modified Terms on this page. Your continued use of the Site thereafter constitutes agreement with such modifications.

The Site and the Content — including without limitation Content discussing legal issues or developments in the law — are made available for general informational purposes only and are not intended to constitute legal advice or a legal opinion or in any way to substitute for specific advice from legal counsel. Because the applicability of any Content is heavily dependent on specific facts and context, and because the law is constantly changing, LITADVISORS does not guarantee or warrant that any Content is accurate or comprehensive. 02. No Attorney-Client Relationship

You agree that your access and use of the Site — including the submission of information through the Site — does not create an attorney-client relationship between you and LITADVISORS. LITADVISORS enters into attorney-client relationships only pursuant to certain policies and procedures unrelated to the Site, including the execution of an Engagement Letter, a screen for conflicts of interest, and other LITADVISORS policies. Unless you are an existing client of LITADVISORS, any communications you initiate through the Site — or otherwise, including email, telephone, voicemail, text message, direct message, or any other means — will not be treated as confidential unless explicitly and specifically indicated otherwise. You should not communicate any information that is confidential, proprietary, or otherwise sensitive, and LITADVISORS makes no guarantees or warranties with respect to the security, confidentiality, use, disclosure, or return of any information we receive from non-clients.

04. No Guaranteed Outcomes

The Content may contain descriptions of prior matters or testimonials from current or former clients. Any such descriptions or testimonials are not intended to, and do not, guarantee future successful outcomes, and do not imply LITADVISORS's continued or current representation of any identified clients.

05. Information and Data Privacy

You acknowledge and agree that any information or data submitted by you or collected by LITADVISORS in connection with your access or use of the Site will be subject to our Privacy Policy, and you hereby consent to the collection, use, and disclosure practices described therein. If you are an existing client of LITADVISORS, additional privacy, data security, and data use terms may apply pursuant to your Engagement Letter or other agreements between you and LITADVISORS. 06. Limited License

Subject to these Terms, LITADVISORS grants you a limited, non-exclusive, revocable, personal license to access and use the Site and to view, reproduce, and distribute the Content solely for non-commercial and informational purposes, only in unmodified form, and only with attribution to LITADVISORS and without removing or obscuring any copyright or permission notices. LITADVISORS reserves the right in its sole discretion to modify or delete any Content for any reason or no reason. Though you may link to any publicly available page on the Site and share Content pursuant to this limited license, you agree to immediately remove any link or take down any shared Content upon request from LITADVISORS.

07. Use of Materials & Intellectual Property

All materials on this Site — including text, graphics, logos, icons, images, and design — and all intellectual property rights thereto, including copyrights, trademarks, service marks, trade names, trade dress, and design, are owned by LITADVISORS or its affiliates and are protected under Mexican and international intellectual property laws. You agree not to copy, reproduce, republish, transmit, modify, or distribute any materials or designs (in whole or in part) contained on the Site, except for your personal, non-commercial use or with the prior written consent of LITADVISORS.

08. Prohibited Uses

As a condition of accessing and using the Site, you agree not to use the Site or any Content for any purpose that is prohibited by these Terms, and further agree not to use the Site in any manner that:

• Violates any applicable law, rule, regulation, contract to which you are bound, or government or judicial order
• Infringes the intellectual property or privacy rights of LITADVISORS or others
• Constitutes the unauthorized transmission of unsolicited commercial electronic mail
• Involves the transmission of defamatory or libelous materials
• Violates, attempts to violate, or knowingly facilitates the violation of the system security of the Site, or otherwise interferes with its normal operation
• Involves software viruses or any other malicious computer codes, files, or programs
• Impersonates any person or entity, including anyone affiliated with LITADVISORS
• Constitutes fraud or bypasses any measures used by LITADVISORS to restrict access to the Site
• Harvests or scrapes any information from the Site
• Otherwise violates these Terms

09. Indemnification

You agree that you will not use this Site for any unlawful purpose, or for any purpose prohibited by these Terms. You agree to indemnify, defend, and hold harmless LITADVISORS, its partners, affiliates, and contributors from any liability, loss, claim, and expense (including reasonable attorneys' fees) related to: (i) your violation of these Terms; and/or (ii) your posting or use of materials on this Site.

10. Links to Third-Party Sites

The Site may include links to third-party sites or present information from third-party sites that are beyond the control of LITADVISORS. Such third-party sites are not subject to these Terms or our Privacy Policy, and LITADVISORS assumes no liability with respect to them. We are not responsible for the content of any third-party sites, make no representations regarding such sites, and do not necessarily endorse or approve of the information, material, products, or services contained on or accessible through any such sites. Your linking to other sites and your use of any information or services offered by such sites are solely at your own risk.

11. Social Media

LITADVISORS reserves the right to remove commentary on its social media channels. We will remove posts that are outside the original intent of the conversation, as well as those that are offensive or illegal. Posts that drive to an individual's websites or products with the intent of personal gain, or those that disclose confidential information, will also be removed.

12. Unauthorized Access to Information

In the event you gain access to any information not intended to be accessed by you, you agree that you will immediately notify LITADVISORS at info@litadvisors.mx and lawfully destroy all copies of such information in your possession.

13. Disclaimer of Warranties

The Site and the Content are provided "as is." To the maximum extent permitted by applicable law, LITADVISORS disclaims all warranties — express, implied, statutory, and otherwise — including any warranties of merchantability, fitness for a particular purpose, accuracy of information, timeliness of information, non-infringement, and uninterrupted or error-free operation. Your access to and use of the Site and Content is at your own risk.

14. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will LITADVISORS or its agents, partners, employees, vendors, or licensors be liable for any consequential, special, exemplary, or punitive damages — including without limitation damages for loss of data, revenue, or profits — whether foreseeable or not, arising out of your access or use of the Site or the Content, based on any claim whatsoever, and even if advised that such damages might occur.

15. Governing Law & Jurisdiction

These Terms are governed by the laws of the United Mexican States. Any disputes arising from or related to these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the competent courts in Mexico City, and you hereby waive any other jurisdiction to which you may be entitled by reason of your present or future domicile or otherwise.

16. Entire Agreement & Modifications

These Terms, together with our Privacy Policy, constitute the entire agreement between you and LITADVISORS with respect to your use of the Site, and supersede all prior understandings or agreements on the subject matter. LITADVISORS reserves the right to modify these Terms at any time by posting updated Terms on this page. Your continued use of the Site following any modification constitutes your acceptance of the revised Terms.
